Higher education is grappling with AI in ways that differ fundamentally from banking, healthcare, or tech. The tools are the same—the same LLMs, the same machine learning pipelines—but the institutional context is completely different.

I’ve worked with universities as they navigate this transition. What strikes me repeatedly is how much leadership gets imported from other industries, and how little of it actually fits. A governance model that works at a fintech startup won’t work at a 200-year-old research university. The incentive structures are different. The constituencies are different. The concepts of risk, innovation, and accountability are different.

If you’re leading AI governance at a university—or advising one—here’s what you need to understand about what makes higher education distinct.

Why higher education governance is fundamentally different

Shared governance and academic freedom

Most organizations have hierarchy. Decision-making flows from top down. Universities don’t work that way. Faculty have shared governance rights. They have academic freedom protections. You can’t make a unilateral decision about how professors use AI in the classroom—you have to negotiate it with the faculty senate.

This sounds slow, and it can be. But it’s not a bug—it’s a feature. Academic freedom is foundational to the university’s mission. Research thrives when researchers have autonomy over their methods and their intellectual output.

So governance in higher ed requires coalition-building and consensus. You’re not commanding compliance; you’re building agreement across faculty, administration, students, and sometimes external stakeholders. That’s harder, but it’s also more sustainable.

Students as data subjects with special protections

Universities collect data on students across their entire lifecycle: admissions, enrollment, grades, housing, health, career outcomes. That data is sensitive—legally protected in many cases (FERPA), but also ethically sensitive because students are in a dependent relationship with the institution.

When you deploy an AI system on student data—a recruiting chatbot, an academic advising system, a plagiarism detector, a mental health screening tool—you’re making decisions about people with limited recourse. Students can’t easily shop for another university. They can’t opt out of the system if it’s embedded in their education.

That asymmetry demands careful governance. You need transparency about how systems work, how data is used, and what safeguards exist. And you need to actively think about fairness and bias, because the consequences of getting it wrong fall on vulnerable populations.

Research mission creates competing pressures

Universities aren’t just teaching institutions. They’re research institutions. Faculty are advancing knowledge in their fields. That mission is in productive tension with governance.

A researcher wants to use a novel AI technique to analyze a dataset. They want to move fast, iterate, publish. Governance wants to understand the model, assess bias, consider privacy implications. Both are legitimate. Neither should win entirely.

But many governance frameworks treat research as an afterthought, designed for administrative or educational systems. Universities need governance that recognizes research as a distinct domain with its own risk profile and its own value.

The data challenges that are unique to higher education

Student lifecycle data is longitudinal and interconnected

A university tracks a student from application through graduation and beyond. Admissions data, transcript data, financial aid records, health center visits, career outcomes—it’s all connected. That’s powerful for understanding student success, but it’s also a privacy minefield.

If you’re using AI to predict which students will drop out, you’re probably using admissions data, family income, health records, and more. Any system touching that data pool needs rigorous governance. You need to understand what data you’re using, where it comes from, who has access, and what safeguards exist.

Research data involves human subjects and intellectual property

Universities conduct research involving human subjects—clinical trials, behavioral studies, social research. That data is protected by IRBs (Institutional Review Boards). It’s also owned by researchers and their institutions in ways that aren’t true for other sectors.

When researchers want to use AI on human subjects data—to analyze patterns, predict outcomes, automate coding—you’re touching both research governance (IRB) and AI governance (bias, fairness, interpretability). These frameworks don’t always align. A system can be IRB-approved and still have serious fairness problems. You need governance that spans both.

Publishing and alumni data create long-term accountability

Universities publish. Faculty research gets distributed. Universities maintain lifetime relationships with alumni. That means AI systems trained on university data can have impacts years or decades later.

A system that helps identify promising researchers (based on publication records and funding outcomes) can shape career trajectories. A system that flags students as at-risk can follow them into their careers if records are shared. That longitudinal impact demands different governance than systems with immediate, contained impacts.

The tension between innovation culture and risk management

Universities are places of intellectual risk-taking and innovation. But AI governance often reads as restrictive. The two feel incompatible, and many universities choose innovation over governance by default.

The real tension:

Universities should be testing AI, publishing results, and contributing to the field. But they also have fiduciary duties to students and responsibilities to research participants. Both are true.

Governance isn’t about shutting down innovation. It’s about managing risk thoughtfully so innovation can happen sustainably.

Here’s what I see happen: a faculty member wants to pilot an AI system in their class. Governance says, “Wait, we need to assess this.” Faculty hears that as obstruction. Governance loses credibility. The faculty member either abandons the idea or deploys it without governance.

The fix is governance that moves with innovation, not against it. Instead of “no, wait”—which kills momentum—it’s “yes, here’s how we’ll do this thoughtfully.” Offer support for piloting, for assessment, for learning. Show that governance accelerates responsible innovation, not just halts everything.

Practical governance structures for universities

AI Governance Council

Most universities need a standing council: faculty, IT, provost’s office, legal, student affairs, research administration. Meet regularly. Review significant new AI deployments. Create clarity about who decides what.

The council shouldn’t be a rubber stamp. It should have real authority. But it should also move fast and support innovation. The goal is to create a commons where decisions get made transparently, not to create a bottleneck.

Tiered assessment based on risk and impact

Not all AI systems need the same level of review. A chatbot for campus events doesn’t need the same assessment as a system that predicts student outcomes or guides admissions decisions.

Create tiers:

  • Tier 1 (Low risk): Informational systems, internal efficiency tools. Light touch governance. Quick approval.
  • Tier 2 (Medium risk): Educational tools, systems that affect student or faculty experience. Moderate assessment. 2-4 week review.
  • Tier 3 (High risk): Systems affecting admissions, financial aid, academic standing, health care, research involving human subjects. Deep assessment. Escalation to council.

This structure keeps governance lean while ensuring high-risk decisions get proper scrutiny.

Integration with existing structures

Universities already have IRBs, compliance offices, IT governance. AI governance needs to fit into those existing frameworks, not create parallel bureaucracy.

Where does AI governance touch research? (IRB). Where does it touch compliance? (Legal). Where does it touch operations? (IT). Build bridges. Create clear handoffs. Avoid redundant review.

Faculty development and support

Faculty are going to experiment with AI. You can either support that exploration or fight it. I’d suggest supporting it.

Offer training: how to use AI responsibly, how to think about bias and fairness, how to teach students about AI ethics. Create a community of practice. Share resources and best practices. Build expertise across the institution.

When faculty feel supported, they’re more likely to engage with governance genuinely instead of working around it.

The opportunity

Higher education has unique strengths for thoughtful AI governance. Faculty are trained to think critically. Universities have existing ethics frameworks (research ethics, academic integrity). Universities care about equity and access in ways many organizations don’t.

The challenge is translating those values into governance structures that work. That means recognizing that higher education is different—different incentives, different constituencies, different risks—and building governance that fits the institution, not importing models from elsewhere.

Universities that get this right will become leaders in responsible AI. They’ll develop the frameworks, train the talent, and contribute the research that shapes how AI governance works across all sectors. The institutions that pretend higher education is like any other industry will stumble.

The opportunity is there. It takes intentional work to seize it.
